Permanent Recruitment
- These terms and conditions of business are between Imagine Recruitment Ltd (thereafter referred to as the company) and Client (here in after called the Client) and are deemed to be accepted by the Client by virtue of an interview or the engagement (which term includes employment or use, whether under a contract of services, or under an agency, license, franchise for partnership agreement) of an applicant introduced by the Company.
- The client shall notify the company in writing of the engagement and shall pay the fee (calculated in accordance with clause 4). Such fee will be due from the client if an applicant introduced by the company is engaged by the client within twelve months of the introduction whatever the circumstances of the subsequent engagement.
- Introductions by the company to the client are confidential and must comply with the Data Protection Act. If within twelve months of the company's introduction the client or one of it's employees introduces an applicant to any third party who subsequently engages the applicant the client will pay the fee (calculated in clause 4)
- Fee scale is indicated as follows:

- The fee payable by the client upon the engagement of an applicant introduced by the company is paid in accordance with the scale set out in clause 4. Remuneration is deemed to be the applicant's first year gross starting salary together with all tax emoluments. A company car is deemed to have a value of £5000 gross, which will be added to the total remuneration. Where applicants are self-employed, fees are based on the estimated remuneration to be paid by the client to the applicant for the services provided during the first year. Value added tax is charge on the fee where applicable. All invoices under clauses 5, 7, 8, 9 are payable within fourteen days of the commencement of employment by the applicant with the client.
- Where applicable the client shall be responsible for the full cost of any advertising or internet solutions, including production charges and media placement whether or not an applicant is engaged.
- The client shall be responsible for any expenses incurred by an applicant during the interview process, whether or not the company engages the applicant.
- If the applicant shall be engaged on a permanent basis but their employment be terminated through resignation or dismissal within the first 8 weeks of commencement of employment the following fee rebates will apply provided that -
- The client notifies the company in writing within seven days of the termination of employment
- The client has paid the company's fees strictly within fourteen days of the invoice.
- Should the client or any subsidiary of an associate company of the client subsequently re-engage the applicant within the period of twelve calendar months from the date of termination a full fee becomes payable. No rebate will be allowed against fees charged for applicants engaged on an hourly, weekly or temporary basis.

Candidates whose employment is terminated through resignation or dismissal within 8 weeks: Imagine Recruitment will replace the candidate free of charge.
- Introductions are confidential and must comply with the Data Protection Act. The passing of an introduction to another employer, which results in an engagement, renders the client liable to payment of the company's fees.
- When an applicant is introduced to a client by Imagine Recruitment:
- The company endeavours to make every reasonable effort to ensure the suitability of applicants on behalf of clients but does not personally establish references and cannot accept any responsibility for any loss, damage or delay, however occasioned. The client agrees to take up any references, obtain work permits and satisfy any medical requirements or qualifications, as are required by law.
- The company gives no warranties as to the applicant's skill, qualifications, experience, general integrity, references or suitability or as to the accuracy of completeness of any information about the applicant's skills, qualifications, experience, integrity, references or suitability whether such information as supplied to the client by the company, or direct by the applicant.
- The client shall be responsible for: -
- Taking up all references and confirming any professional and academic qualifications of the applicant prior to commencing employment and for obtaining any work permits and satisfying any medical requirements.
- Verifying the skills, qualifications, experience, integrity, references and suitability of the applicant prior to the applicant commencing employment.
- Verifying the accuracy and completeness of the information referred to in (i) hereof.
- The company shall bear no responsibility for any loss, damage, delay or loss of profits or liability suffered or incurred by the client by reason of the lack of skill, qualification, experience, integrity or suitability of the applicant or by reason of the selection of the applicant by the company.
- The client shall indemnify the company against all claims, demands, actions, proceedings and liabilities of whatever nature brought by a third party against the company which arise out of or are connected with or have been caused in any manner whatsoever by any information supplies by the company as to the skills, qualifications, experience, integrity or suitability of the applicant otherwise arising out of the performance or purported performance of the contract by the company whether or not such information be given negligently by the company or agents.

- The company shall in no circumstances whatsoever shall be liable for any injury, loss (whether indirect, direct or consequential), expense, damage, delay or loss of profits suffered or incurred by the client or for any liability to the third parties of whatever nature suffered or incurred by the client arising out of or connected with or caused by any refusal or failure by the applicant to work or by any breach of contract, negligence, breach of statutory duty, omissions, default, wilful or reckless action on the part of the applicant, save insofar as any personal injury to the client or anybody else has being caused by the negligence of the company or the applicant.
- The client shall indemnify the company against all claims, demands, actions, proceedings and liability of whatever nature brought any third party against the company, which arise out of or are connected with or have been caused in any manner whatsoever by the failure or refusal of the applicant to work or by the breach of contract or the negligence, breach of statutory duty, omissions, default, wilful or reckless action on the part of the applicant or by any dishonesty or fraud on the applicant. The client shall arrange adequate appropriate insurance cover in respect of the matters set out in the above.
- The company reserves the right to charge interest rate at 1.5% per month on all overdue invoices. Interest is deemed to accrue on a day to day basis from and including the date for payments under clause 4.
- Any retainer agreed between Imagine Recruitment and a Client for the provision of recruitment services is deemed non refundable, unless specifically agreed prior to commencement of any relevant assignment.
- No variation can be made to these terms and conditions without written consent from a Director of Imagine Recruitment Ltd.
